END USER SOFTWARE LICENSE AGREEMENT
Notice to User.
NOTICE: EXPLANATION OF USAGE & TIME LIMIT IN an eLearning COURSE If you or your company paid for a Single-user license for an Strategic IP Licensing, Inc course, then this means ONLY YOU ARE ELIGIBLE to take the course and ONLY FOR THE TIME LIMIT ALLOCATED.
For example, if you are licensed to use the course, which has a usage allocation of two (2) hours, then the course will expire after you have exhausted this limit. THIS TIME ALLOCATION IS CUMMULATIVE. You can log into the course as many times as you like as long as the cumulative time in the module is less than the allocated limit. This is a contract. By using this software you accept all the terms and conditions of this agreement ("License Agreement").
Please read this License Agreement carefully. At the end, you will be asked to accept this agreement. If you do not wish to accept this License Agreement, you may decline this agreement, in which case you will not be able to access or use the Software.
Upon your acceptance of this License Agreement, Strategic IP Licensing, Inc and other entities involved in the development of this course grants to you a nonexclusive license to use the software, provided that you agree to the following
1. Permitted Use of the Software. You agree to load and use the Software only on a single computer or at a single location, for use by only one person per license purchased.
You also agree not to reproduce or make the Software available on a server or network.
You agree not to modify, adapt, translate, reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Software.
2. Copyrights in Software. The Software is owned by Strategic IP Licensing, Inc and/or a third party entity involved in the development. Its structure, organization, code, and content are the valuable trade secrets of Strategic IP Licensing, Inc and/or a third party entity involved in the development. The Software is protected by United States Copyright Law and International Treaty provisions. Except for the limited license to use the Software set forth above, this License Agreement does not grant you any intellectual property rights in the Software.
3. Disclaimer of Liability/Warranty. Strategic IP Licensing, Inc warrants that any portion of the Software created by Strategic IP Licensing, Inc will perform substantially in accordance with published documentation therefore when properly installed on a computer system or network which meets the minimum system requirements set forth in the applicable documentation for a period of ninety (90) days. Strategic IP Licensing, Inc does not warrant that the operation of the Software will be uninterrupted or error-free.
In the event of a breach of the foregoing warranty that occurs during the warranty period, Strategic IP Licensing, Inc will use commercially reasonable efforts to remedy the problem so that the Software performs according to its published documentation, or in Strategic IP Licensing, Inc's sole discretion, provide a new copy of the Software to you, if Strategic IP Licensing, Inc diagnoses the problem as a defect in a current, unaltered release of the Software.
NO OTHER WARRANTY, WHETHER EXPRESSED OR IMPLIED, IS MADE WITH RESPECT TO THE SOFTWARE. STRATEGIC IP LICENSING, INC SPECIFICALLY DISCLAIMS THE IMPLIED WARRANTIES OF MERCHANTABILITY, NONINFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE.
